About the Constitution (পরিচালন নীতিমালা সম্পর্কে)
The Constitution and Governance Guideline of the Sundarban Coalition was approved at the second meeting of the Coalition Governance Council held on 6-7 June 2023. It provides the formal framework for the Coalition’s identity, purpose, governance structure, membership, decision-making, committees, financial management and institutional responsibilities.
সুন্দরবন কোয়ালিশনের পরিচালন নীতিমালা ৬-৭ জুন ২০২৩ তারিখে অনুষ্ঠিত কোয়ালিশন পরিচালনা পর্ষদের দ্বিতীয় সভায় অনুমোদিত হয়। এতে কোয়ালিশনের পরিচিতি, লক্ষ্য, উদ্দেশ্য, শাসন কাঠামো, সদস্যপদ, সিদ্ধান্ত গ্রহণ, বিভিন্ন কমিটি, আর্থিক ব্যবস্থাপনা এবং প্রাতিষ্ঠানিক দায়িত্বের আনুষ্ঠানিক কাঠামো নির্ধারণ করা হয়েছে।
Goal and Objectives (লক্ষ্য ও উদ্দেশ্য)
Goal (লক্ষ্য): To strengthen the resilience of coastal communities through coordinated initiatives led by local civil society organisations.
লক্ষ্য: স্থানীয় জনসম্পৃক্ত প্রতিষ্ঠানগুলোর সমন্বিত উদ্যোগের মাধ্যমে উপকূলীয় মানুষের রেজিলিয়েন্স বৃদ্ধি করা।
- To promote and implement coordinated initiatives among local civil society organisations. (স্থানীয় জনসম্পৃক্ত প্রতিষ্ঠানগুলোর সমন্বিত উদ্যোগ গ্রহণ ও বাস্তবায়ন।)
- To strengthen climate-change resilience and improve the quality of life of vulnerable coastal communities. (ঝুঁকিপূর্ণ উপকূলীয় জনগোষ্ঠীর জলবায়ু পরিবর্তন সহনশীলতা বৃদ্ধি ও জীবনমান উন্নয়ন।)
- To develop a sustainable and cost effective model of aid localisation. (এইড লোকালাইজেশনের একটি সাশ্রয়ী, স্থায়ী ও কার্যকর মডেল তৈরি।)
Core Strategies (মূল কৌশলসমূহ)
- Build a strong alliance of local civil society organisations. (স্থানীয় জনসম্পৃক্ত প্রতিষ্ঠানগুলোর একটি শক্তিশালী জোট গঠন।)
- Strengthen the skills, institutional capacity and sustainability of local organisations. (স্থানীয় জনসম্পৃক্ত প্রতিষ্ঠানগুলোর দক্ষতা, প্রাতিষ্ঠানিক সক্ষমতা ও স্থায়িত্ব বৃদ্ধি।)
- Increase democratic discussion and participation in institutional decision-making. (প্রাতিষ্ঠানিক পর্যায়ে সিদ্ধান্ত গ্রহণে গণতান্ত্রিক আলোচনা ও অংশগ্রহণ বৃদ্ধি।)
- Undertake coordinated initiatives through the meaningful participation of different stakeholders. (বিভিন্ন অংশীজনের অর্থবহ অংশগ্রহণের মাধ্যমে সমন্বিত উদ্যোগ গ্রহণ।)
Governance Structure (পরিচালন কাঠামো)
The Coalition Governance Council is the highest decision-making and policy-setting body of the Sundarban Coalition. It consists of representatives nominated by member organisations, with the Coalition Manager serving as Member Secretary. The Governance Council oversees the Coalition’s strategic direction, policies, accountability and institutional development.
কোয়ালিশন পরিচালনা পর্ষদ সুন্দরবন কোয়ালিশনের সর্বোচ্চ সিদ্ধান্ত গ্রহণকারী ও নীতি নির্ধারণকারী কর্তৃপক্ষ। এটি সদস্য সংস্থাগুলোর মনোনীত প্রতিনিধিদের নিয়ে গঠিত এবং কোয়ালিশন ম্যানেজার সদস্য সচিব হিসেবে দায়িত্ব পালন করেন। পরিচালনা পর্ষদ কোয়ালিশনের কৌশলগত দিকনির্দেশনা, নীতিমালা, জবাবদিহিতা ও প্রাতিষ্ঠানিক উন্নয়ন তদারক করে।

Meetings and Decision-Making (সভা ও সিদ্ধান্ত গ্রহণ)
- Each member organisation is represented by its chief executive or an officially nominated and authorised representative. (প্রতিটি সদস্য সংস্থা তার নির্বাহী প্রধান অথবা আনুষ্ঠানিকভাবে মনোনীত ও অনুমোদিত প্রতিনিধির মাধ্যমে প্রতিনিধিত্ব করে।)
- The Governance Council meets at least once every three months. Meetings may be held in person or online, with at least one in-person meeting every six months. (পরিচালনা পর্ষদের সভা অন্তত প্রতি তিন মাসে একবার অনুষ্ঠিত হয়। সভা সরাসরি বা অনলাইনে হতে পারে এবং প্রতি ছয় মাসে অন্তত একটি সরাসরি সভা আয়োজন করা হয়।)
- A quorum requires the presence of at least two-thirds of the Council members. (পরিচালনা পর্ষদের অন্তত দুই-তৃতীয়াংশ সদস্যের উপস্থিতিতে কোরাম পূর্ণ হয়।)
- Decisions should preferably be reached by consensus. If consensus is not possible, a decision may be made by a two-thirds majority of the members present. (সিদ্ধান্ত অগ্রাধিকার ভিত্তিতে সর্বসম্মতিক্রমে গ্রহণ করা হয়। সর্বসম্মতি সম্ভব না হলে উপস্থিত সদস্যদের দুই-তৃতীয়াংশ ভোটে সিদ্ধান্ত গ্রহণ করা যায়।)
- Decisions must be properly documented, and meeting records should be circulated to members within the prescribed period. (সিদ্ধান্ত যথাযথভাবে নথিভুক্ত করা হয় এবং নির্ধারিত সময়ের মধ্যে সভার কার্যবিবরণী সদস্যদের কাছে পাঠানো হয়।)
Membership and Accountability (সদস্যপদ ও জবাবদিহিতা)
Membership is governed through a transparent review, due-diligence and approval process led by the Coalition Governance Council. Member organisations are expected to uphold the Coalition’s Constitution, safeguarding standards, financial integrity, ethical principles and other approved policies.
Serious concerns involving corruption, fraud, safeguarding violations, human trafficking, abuse, discrimination or other misconduct may be subject to a formal show-cause and investigation process. Based on verified findings and due process, the Governance Council may take corrective measures, suspend activities or cancel membership.
সদস্যপদ কোয়ালিশন পরিচালনা পর্ষদের নেতৃত্বে স্বচ্ছ পর্যালোচনা, যথাযথ যাচাই ও অনুমোদন প্রক্রিয়ার মাধ্যমে পরিচালিত হয়। সদস্য সংস্থাগুলোকে কোয়ালিশনের পরিচালন নীতিমালা, সেফগার্ডিং মানদণ্ড, আর্থিক সততা, নৈতিক নীতি এবং অন্যান্য অনুমোদিত নীতিমালা মেনে চলতে হয়।
দুর্নীতি, জালিয়াতি, সেফগার্ডিং লঙ্ঘন, মানব পাচার, নির্যাতন, বৈষম্য বা অন্যান্য অসদাচরণ সম্পর্কিত গুরুতর অভিযোগ আনুষ্ঠানিক কারণ দর্শানো ও তদন্ত প্রক্রিয়ার আওতায় আনা হতে পারে। যাচাইকৃত ফলাফল ও যথাযথ প্রক্রিয়ার ভিত্তিতে পরিচালনা পর্ষদ সংশোধনমূলক ব্যবস্থা নিতে, কার্যক্রম স্থগিত করতে বা সদস্যপদ বাতিল করতে পারে।
Institutional Roles and Responsibilities (প্রাতিষ্ঠানিক দায়িত্ব ও কর্তব্য)
- Governance Council: Provides strategic leadership, approves policies and plans, oversees committees, promotes partnerships and ensures accountability across the Coalition. (পরিচালনা পর্ষদ: কৌশলগত নেতৃত্ব প্রদান, নীতিমালা ও পরিকল্পনা অনুমোদন, কমিটি তদারকি, অংশীদারত্ব উন্নয়ন এবং কোয়ালিশনের জবাবদিহিতা নিশ্চিত করে।)
- Host Organisation: Serves as the custodian of Coalition funds, maintains financial management and accounts, supports statutory and donor compliance, and provides operational assistance to the Secretariat. - Mentoring Organisation: Provides technical guidance, supports quality improvement, reviews progress and strengthens monitoring, evaluation and learning processes. - Coalition Secretariat: Coordinates day-to-day operations, organises meetings, maintains records, supports communication and reporting, and ensures compliance with approved decisions and policies. (কোয়ালিশন সেক্রেটারিয়েট: দৈনন্দিন কার্যক্রম সমন্বয়, সভা আয়োজন, নথি সংরক্ষণ, যোগাযোগ ও প্রতিবেদন সহায়তা এবং অনুমোদিত সিদ্ধান্ত ও নীতিমালার প্রতিপালন নিশ্চিত করে।)
- Member CSOs and CBOs: Maintain stakeholder relationships, implement agreed activities, submit timely programme and financial reports, support policy development and uphold Coalition standards. Financial Management and Audit (আর্থিক ব্যবস্থাপনা ও নিরীক্ষা)
The Host Organisation serves as the custodian of Coalition funds and is responsible for maintaining proper financial management, accounting records and supporting documentation. All financial transactions must comply with applicable law, donor requirements, approved budgets and the Coalition’s financial policies.
Partnership agreements, workplans, budgets and reports require appropriate review and approval. The Coalition’s financial transactions are subject to an annual external audit by an authorised audit firm, with oversight from the Governance Council and the Audit and Finance Committee.
হোস্ট সংস্থা কোয়ালিশনের তহবিল সংরক্ষক হিসেবে দায়িত্ব পালন করে এবং যথাযথ আর্থিক ব্যবস্থাপনা, হিসাব রক্ষণ ও সহায়ক নথিপত্র সংরক্ষণ করে। সব আর্থিক লেনদেন প্রযোজ্য আইন, দাতা সংস্থার শর্ত, অনুমোদিত বাজেট এবং কোয়ালিশনের আর্থিক নীতিমালা অনুযায়ী পরিচালিত হতে হবে।
অংশীদারত্ব চুক্তি, কর্মপরিকল্পনা, বাজেট ও প্রতিবেদন যথাযথ পর্যালোচনা এবং অনুমোদনের আওতায় থাকে। পরিচালনা পর্ষদ এবং অডিট ও অর্থ কমিটির তদারকিতে অনুমোদিত নিরীক্ষা প্রতিষ্ঠান দিয়ে প্রতি বছর কোয়ালিশনের আর্থিক লেনদেনের বহিঃনিরীক্ষা করা হয়।
